Miroslav Dvořák will be the General Manager of Czech Aeroholding

Czech Aeroholding, which will umbrella the subsidiary Prague Airport, Czech Airlines, HOLIDAYS Czech Airlines, Czech Airlines Technics, Czech Airlines Handling and Czech Airlines Services, has its CEO. From 1st November 2011, this will be Miroslav Dvořák, who as of same date shall resign from his current job of the CEO of Prague Airport and the president of Czech Airlines.
Miroslav Dvořák was already in March 2011 elected the Chairman of the Board of Directors of Czech Aeroholding. "My role in the new job function in the mother company Czech Aeroholding shall mainly be coordination, financial management and implementation of synergy in the entire company," says Miroslav Dvořák, the Chairman of the Board of Directors of Czech Aeroholding, who will on 01/11/2011 at the same time be elected the Chairman of the Supervisory Board of Czech Airlines and will takeover from its current Chairman, Michal Mejstřík. Together with Miroslav Dvořák, his management team is coming along with him to Czech Aeroholding. Petr Vlasák shall be the Senior Manager for Finance and HR (1st Vice Chairman of the Board of Directors of Czech Aeroholding), Marta Guthová (a member of the Board of Directors) shall be the Senior Manageress for Central Procurement, Sales and Marketing and Josef Adam (a member of the Board of Directors) will become the Senior Manager for ICT and Legal Affairs. As of 01/11/2011, all these three managers shall also depart from their current jobs in Prague Airport and Czech Airlines. Petr Vlasák resigns from the job of the Senior Manager for Finance and Corporate Services of Prague Airport, Marta Guthová resigns from the job of the Senior Manageress for Non-aviation Business, Operations and Procurement of Prague Airport and Josef Adam will leave the office of the Vice President for ICT, HR and Legal Affairs of Czech Airlines.
The first subsidiary where the process of transition to the holding structure has started is Prague Airport. This step is divided into two phases. In order to forego breach of Act No. 69/2010 (that prohibits the privatisation of Prague Airport), the key real estate property of Prague Airport should be owned either 100 % by the State, or a legal entity in which the State has a 100% stake. Such a legal entity is just Czech Aeroholding. The first phase consisted of the fact that real estate that was alienated from Prague Airport was transferred to Czech Aeroholding (as of 01/10/2011). The alienated part of the business assets also entailed transfer from Prague Airport to Czech Aeroholding of some organisational units, e.g. HR, ICT, Legal Affairs Department, Accounts and Tax Department or Central Procurement and Logistics. This results in fulfilment of synergy because a shared services centre is being created, which shall provide these and other services to all the subsidiaries. The Ministry of Finance as the sole shareholder on the general assembly approved this step on 06/09/2011. The second phase is then the actual assignment of 100 % shares in Prague Airport to Czech Aeroholding, which shall be executed in subsequent months. In course of the next 4-5 months, the four subsidiaries of Czech Airlines shall be transferred gradually to Czech Aeroholding. Czech Airlines will come last, probably in the first half of next year. The entire process of creation of holding structure would however be completed at the latest by the end of 2012.
